These Terms and Conditions ("Terms") are an agreement between you (the business or person buying or using HisaabDesk) and TACMinds ("TACMinds", "we", "us"). They apply to the HisaabDesk software, its updates, HisaabPrompt, mobile access, TDL invoice packs, setup, support and custom work. By installing, activating, paying for or using HisaabDesk, you accept these Terms. If you do not agree, do not install or use it.

1. What HisaabDesk is

HisaabDesk is software that runs on your Windows computer next to Tally. It reads your Tally data to show a dashboard and reports, helps you send ledgers and reminders, and – on plans that include HisaabPrompt – prepares entries that are saved in Tally only after you confirm. HisaabDesk does not replace Tally and is not an accounting or tax advisory service.

2. Your Tally

• You must have your own genuine, licensed copy of TallyPrime or Tally.ERP 9. Tally licences and Tally Software Services (TSS) are bought separately from Tally Solutions or its partners and are not part of HisaabDesk.
• HisaabDesk works with Tally only through Tally's documented integration interfaces (XML over HTTP / ODBC) and standard TDL. It does not modify Tally's program files or open Tally's data files directly.
• Using HisaabDesk does not change your Tally licence, TSS or your agreement with Tally Solutions. You must continue to follow Tally's licence terms.
• Tally may change its software at any time. We will make reasonable efforts to keep HisaabDesk compatible with current Tally releases, but we cannot guarantee compatibility with every Tally version or customisation.

3. Licence

• HisaabDesk is licensed, not sold. On payment we grant you a non-exclusive, non-transferable licence to use HisaabDesk for your own business during the licence period.
• Each licence is for one computer for one year from activation, unless your plan says otherwise (the Business plan covers two computers). The number of Tally companies or branches is as per your plan and add-ons.
• The licence is tied to the computer it is activated on. If you replace or repair your computer, we will move the licence to the new computer as provided in the software or with our help, within reasonable limits.
• HisaabDesk checks its licence online from time to time. It continues to work offline for a grace period; if it cannot check for a long time, it may ask you to connect to the internet once.

4. What you may not do

You may not: copy, share, rent, resell or sub-license HisaabDesk or your licence key; install it on more computers than your licence allows; reverse-engineer, decompile, modify or tamper with the software or its licence system; remove notices; use it with an unlicensed or tampered copy of Tally; or use it to send spam or unlawful messages. Breach of this section ends your licence immediately, without refund.

5. Plans, fees and taxes

• Prices are shown on this website and in our quotations, in Indian Rupees, excluding GST, which is charged as applicable. A GST invoice is issued for every payment.
• Launch offers and discounts apply only as stated, for the period stated.
• Payment is made in advance through Razorpay, UPI, bank transfer or another method we accept.
• We may change prices for new purchases and renewals. The price for your current licence year does not change.

6. Renewal and expiry

• Licences are renewed yearly. We send reminders before expiry. There is no automatic debit unless you set one up.
• After expiry and a short grace period, HisaabDesk becomes view-only: features that send messages or create entries stop until you renew.
• Your Tally and your data are never locked. Tally keeps working normally whether or not you renew HisaabDesk.

7. HisaabPrompt and entries in Tally

• HisaabPrompt works with fixed rules and your own Tally item and party names. It does not use artificial intelligence or send your data to any AI service.
• Every entry is shown as a draft first. Nothing is saved in Tally until you press Confirm. You are responsible for checking the draft – party, items, quantities, rates, taxes and amounts – before you confirm.
• Entries saved in Tally become part of your books. Correcting, cancelling or deleting them is done in Tally, by you or your accountant.

8. Messages, reminders and UPI QR

• Ledgers, invoices, reminders and summaries are sent from your own WhatsApp, email or a messaging provider you connect. You are responsible for their content, for having your customers' consent, and for following WhatsApp's and your provider's terms and the law.
• The UPI QR shown on statements uses the UPI ID you enter. Please check it carefully; payments go directly to that UPI ID.

9. Your data and backups

• Your Tally data remains yours and stays on your computer. How we handle personal information is explained in our Privacy Policy.
• HisaabDesk's automatic backup is an extra safety aid. You remain responsible for keeping your own independent backups of your Tally data.
• If you turn on mobile access, you are responsible for which email addresses you allow and for keeping those accounts secure.

10. Setup, TDL invoice packs and custom work

• Setup and training are provided as described in your plan or quotation.
• TDL invoice packs and custom work are delivered as per the requirement agreed in writing. If a delivery does not match the agreed requirement, we will correct it free of charge.
• Our general code, tools and know-how remain the property of TACMinds. You get the right to use the delivered pack or custom work in your business; you may not resell or distribute it.
• Changes outside the agreed requirement are quoted separately.

11. Support and updates

An active licence includes software updates and support on WhatsApp, email and phone during business hours. Support covers HisaabDesk; help with Tally itself, your accounting, data entry or computer problems may be charged separately. Remote support is given only with your permission.

12. Refunds

Refunds and cancellations are covered by our Refund & Cancellation Policy.

13. Third-party products

HisaabDesk works with products and services of other companies, such as Tally, Microsoft Windows, WhatsApp, email providers, UPI apps and Razorpay. Those are governed by their own terms, and we are not responsible for their availability, changes or charges.

14. Warranty

We build and test HisaabDesk with care and will fix reported defects within a reasonable time. Apart from what is stated in these Terms, HisaabDesk is provided "as is". It does not give accounting, tax or legal advice; figures and reports should be checked against your books, and decisions based on them are yours.

15. Limitation of liability

To the extent allowed by law, our total liability for any claim relating to HisaabDesk is limited to the fees you paid for the current licence year. We are not liable for indirect or consequential losses, loss of profit or business, or loss or corruption of data, including losses caused by entries you confirmed, messages you sent, or problems in Tally, Windows or third-party services.

16. Indemnity

You agree to compensate TACMinds for claims, losses and costs arising from your breach of these Terms, misuse of HisaabDesk, or messages and content you send to others using it.

17. Suspension and termination

You may stop using HisaabDesk at any time. We may suspend or end your licence if you breach these Terms or do not pay. When a licence ends you must stop using the paid features. Sections on liability, indemnity and intellectual property continue after the licence ends.

18. Trademarks

HisaabDesk, HisaabPrompt and TACMinds are names and marks of TACMinds. Tally, TallyPrime and Tally.ERP 9 are trademarks of Tally Solutions Pvt Ltd. HisaabDesk is an independent product. It is not made, approved, affiliated with or endorsed by Tally Solutions. References to Tally only describe the software HisaabDesk works with.

19. Changes to these Terms

We may update these Terms. The date at the top shows the latest version. Changes apply from your next purchase or renewal; for important changes we will inform customers by email or WhatsApp.

20. Governing law

These Terms are governed by the laws of India.
